These Terms of Service (the “Terms”) are an agreement between Kitlogi (“Kitlogi,” “we,” “us,” or “our”) and the company or individual using our services (“you” or “Customer”). They govern your use of the Kitlogi website, web and mobile applications, and related services (together, the “Service”). By creating an account, checking an acceptance box, or using the Service, you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
1. The Service
Kitlogi provides inventory and case-readiness software for medical device sales representatives and the offices and warehouses they serve. The Service helps you track kits, components, locations, expiration dates, and case schedules, including by scanning device barcodes and UDI codes. Kitlogi is a logistics and record-keeping tool: it stores and organizes the information you and your team put into it.
2. Accounts and access
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at contact@kitlogi.com if you suspect unauthorized access.
- Company administrators control who may join their workspace, what roles they hold, and what data they can see. Adding a user to your workspace authorizes them to access your company’s data consistent with their role.
- You must be at least 18 years old and using the Service for business purposes.
3. Plans, billing, and trials
- Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method.
- Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and previously paid fees are non-refundable except where required by law.
- If we offer a free trial or free tier, we may modify or end it at any time.
- We may change pricing with at least 30 days’ notice; changes apply from your next billing period.
- You are responsible for any applicable taxes other than taxes on our income.
4. Your data
- You own your data. All inventory records, kit configurations, schedules, files, and other content you submit (“Customer Data”) remain yours.
- You grant us a limited license to host, process, transmit, and display Customer Data solely to operate, secure, and improve the Service.
- We protect Customer Data as described in our Privacy Policy
- Terms of Service, including tenant isolation so each company’s data is accessible only to that company’s authorized users.
- You can export your data while your account is active. After termination, we will delete Customer Data within 90 days, except as needed to comply with law.
- You are responsible for the accuracy and lawfulness of the data you and your team enter.
5. Inventory accuracy and medical disclaimer
Please read this section carefully.
- Kitlogi is an inventory management and logistics tool. It is not a medical device, does not provide medical advice, and is not a substitute for professional judgment, institutional protocols, or manufacturer instructions.
- Information in the Service — including kit contents, counts, locations, expiration dates, and readiness indicators — reflects what users have entered or scanned and may be incomplete, outdated, or incorrect.
- You and your organization are solely responsible for verifying, before any clinical use, that devices and kits are present, complete, sterile, unexpired, and compliant with applicable regulations and facility policies. Kitlogi readiness indicators do not replace physical inspection.
- Kitlogi is not responsible for clinical, surgical, or patient outcomes, or for decisions made in reliance on information in the Service.
6. No patient health information
The Service is designed for device and inventory logistics — not for patient records. You agree not to enter protected health information (PHI) or other patient-identifying information into the Service (for example in kit names, notes, case labels, or uploaded files). Case schedules should reference cases by procedure, facility, or internal reference — never by patient identity. Kitlogi is not a HIPAA business associate and no business associate agreement is in place unless we sign one in writing.
7. Acceptable use
You agree not to:
- use the Service unlawfully or in violation of others’ rights;
- share accounts, resell access, or provide the Service to third parties outside your workspace;
- probe, scan, or test the vulnerability of the Service without our prior written consent;
- interfere with the Service, circumvent usage limits or access controls, or access another customer’s data;
- reverse engineer, copy, or create derivative works of the Service except as permitted by law;
- upload malicious code or use automated means to extract data at scale.
8. Intellectual property
Kitlogi owns the Service, including all software, design, and branding. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback or suggestions, we may use them without obligation to you.
9. Third-party services
The Service relies on trusted third-party providers — for example Stripe for payments, and cloud hosting and email delivery providers. Their availability is outside our control, and your use of third-party services (such as Stripe’s checkout) may be subject to their own terms.
10. Availability and support
We work to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and features may change as the product evolves (see Section 15). Support is provided by email at contact@kitlogi.com.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, KITLOGI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ITS DATA WILL BE ACCURATE, COMPLETE, OR UNINTERRUPTED.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) KITLOGI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) KITLOGI’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR $100 IF YOU HAVE PAID NOTHING). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You will defend and indemnify Kitlogi against claims arising from (a) Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of third-party rights.
14. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access for material breach of these Terms (including Sections 5–7), for non-payment, or if required by law; where practical we will give notice and a chance to cure. Sections 4, 5, 6, 8, and 11–16 survive termination.
15. Changes to the Service or these Terms
Kitlogi is in active development and features will evolve. We may update these Terms from time to time; if changes are material we will notify you (for example by email or in-app notice) at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the State of Idaho, excluding its conflict-of-laws rules. Before filing any claim, both parties agree to try in good faith to resolve the dispute informally by contacting the other party. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Idaho, and both parties consent to their jurisdiction.
